These Terms & Conditions (“Terms”) govern your access to and use of the Top Ideal omnichannel business messaging platform and the website at top-ideal.tech (together, the “Service”). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

01The Service

Top Ideal provides a unified inbox that allows business teams to send and receive messages with their customers across WhatsApp, Instagram, and Facebook Messenger. The Service is currently being prepared for launch and is offered to selected design partners. Features and availability may change as the Service develops.

02Eligibility and accounts

You must be a business, or an authorised representative of a business, and able to enter into a binding agreement to use the Service. You are responsible for keeping your account credentials secure, for all activity under your account, and for ensuring that everyone you authorise complies with these Terms.

03Acceptable use

You agree not to use the Service to:

• send spam, unsolicited messages, or any communication that breaches the policies of WhatsApp, Instagram, Messenger, or Meta;
• send unlawful, deceptive, harassing, hateful, or harmful content;
• message people without the consent or lawful basis required by applicable law and by the relevant platform’s rules;
• infringe the intellectual property or privacy rights of others;
• attempt to disrupt, reverse engineer, or gain unauthorised access to the Service.

04Third-party platforms

The Service connects to messaging channels operated by Meta. Your use of those channels through Top Ideal is also subject to Meta’s own terms and policies, including the WhatsApp Business Messaging Policy and Meta’s Platform Terms. You are responsible for complying with those policies, including obtaining any required opt-in or consent from the people you message. We may suspend features that rely on a third-party platform if that platform changes or withdraws access.

05Customer content and data

You retain ownership of the content and data you and your customers send through the Service. You grant Top Ideal a limited licence to process that content only as needed to provide the Service. Our handling of personal data is described in our Privacy Policy.

06Intellectual property

The Service, including its software, design, and branding, is owned by Top Ideal and its licensors. These Terms do not grant you any rights in the Service other than the right to use it as permitted here.

07Fees

Where the Service is offered on a paid basis, applicable fees and billing terms will be set out in your subscription or order. Charges from Meta for messaging (for example, WhatsApp conversation costs) may be billed by Meta directly and are separate from Top Ideal’s fees.

08Service availability

We work to keep the Service available and reliable, but we do not guarantee that it will be uninterrupted or error-free, particularly during this pre-launch period. We may modify, suspend, or discontinue parts of the Service with reasonable notice where practicable.

09Disclaimers

To the extent permitted by law, the Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement.

10Limitation of liability

To the maximum extent permitted by law, Top Ideal will not be liable for any indirect, incidental, special, or consequential damages, or for loss of profits, data, or business, arising from your use of the Service.

11Termination

You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms or the policies of a connected platform. On termination, your right to use the Service ends, and data is handled as described in our Privacy Policy and Data Deletion process.

12Changes to these Terms

We may update these Terms from time to time. The updated version will be posted here with a revised “Last updated” date. Continued use of the Service after changes take effect means you accept the updated Terms.

13Governing law

These Terms are governed by the laws of the State of Qatar, and any dispute will be subject to the jurisdiction of the competent courts of Qatar, without prejudice to any mandatory consumer rights.
